BLOOM DANCE COMPANY INC.

TERMS AND CONDITIONS

THIS AGREEMENT is between the undersigned (“you”) and Bloom Dance Company Inc. By signing this Agreement and paying tuition for chosen classes, Bloom Dance Company Inc. will secure a space for the Dancer in those classes. You agree to continue paying tuition until the season ends or the Agreement is terminated in the manner provided for below.

IN CONSIDERATION of Bloom Dance Company Inc. providing dance instruction and/or related services to _____________________________ the “Dancer”, the mutual promises exchanged herein, and other good and valuable consideration, the parties agree as follows:

• Term: Upon acceptance of this Agreement and the Release and Waiver of Liability, and payment of the amounts and charges outlined herein, the Dancer shall be enrolled with Bloom Dance Company Inc. for the 2021/2022 dance year, the term of which is as follows:

Start Date: Saturday September 11th, 2021

End Date: Saturday June 18th, 2022

• Sessions, Fees, and Payment: Payment for the dance year shall be made in one of the following ways:

• Tuition may be paid in full at the time of registration;

• Tuition may be paid in monthly installments on the first of each month, with the first and last installment due at the time of registration. Credit-Card Authorization for the remainder of the Term must be delivered to Bloom Dance Company Inc. within 10 days of registration. A late fee of 5% will be applied to all payments received more than a week past their due date.

Any payments that are returned “NSF” (non-sufficient funds) from your financial institution will be subject to a service charge of $40. Upon receiving notice of an NSF payment, payment must be remitted along with the service charge prior to the Dancer’s next class, rehearsal or recital.

• Recital Costumes: An $85 non-refundable deposit is due at the time of registration. An invoice for the remainder of the costume fee will be due at the time costumes are delivered.

• Consumer Protection Act, 2002: You may cancel this Agreement at any time during the period that ends 10 days after the later of the day you receive a written copy of this Agreement and the day all services are available. You do not need to give Bloom Dance Company Inc. a reason for cancelling during this 10 day period. You may have other rights, duties and remedies at law. To cancel this Agreement within the 10 day period, you must give notice of cancellation to Bloom Dance Company Inc. at the address set out in the Agreement, by any means that allow you to prove the date on which you gave notice. If you cancel this Agreement, Bloom Dance Company Inc. has 15 days to refund any payment you have made.

• Commitment: The Dancer is required to arrive at classes and rehearsals 5-10 minutes before the scheduled start time to allow the Dancer to be changed and ready to begin on time. Scheduled sessions and rehearsals finish at the originally scheduled completion time, regardless of late arrivals.

The Dancer is not obligated to perform or participate in any activity unless he or she wishes to do so. The Dancer has the right at all times to decline any activities or participation in sessions.

• Cancellation: You shall provide at least six (6) hours’ notice to Bloom Dance Company Inc. if the Dancer is unable to attend a class or rehearsal for any reason. Refunds for missed classes, rehearsals and/or recitals will not be provided.

If the Dancer is absent for more than 3 scheduled classes or rehearsals within a 6 week period, the Dancer may not be permitted to participate in the year-end recital or competitions.

• Termination: Bloom Dance Company Inc. reserves the right to cancel the Dancer’s remaining sessions without notice at its sole discretion if the Dancer displays a lack of commitment to the dance year or fails to comply with the behaviour code, or for any material breach of this Agreement, including but not limited to non-payment of fees.

In the event that Bloom Dance Company Inc. exercises its right under this section of the Agreement, refunds for cancelled classes, rehearsals and/or recitals are at the sole discretion of Bloom Dance Company Inc. and are not guaranteed.

If the Dancer wishes to withdraw from classes outside of the 10-day cooling off period pursuant to the Consumer Protection Act, 2002, written notice is required and a representative of Bloom Dance Company Inc. may contact you to discuss the Dancer’s reasons for withdrawal. Refunds for remaining classes, rehearsals and/or recitals during the dance year may be issued in extenuating circumstances, at the sole discretion of Bloom Dance Company Inc. and are not guaranteed. Cancellations will not be accepted after Feburary 1st, 2022, and all accounts must be paid in full.

• Studio Shutdown: In the event of a required studio shutdown, online classes will be provided in lieu of in-person classes. All tuition payments will continue as per the registration agreement for the 2021/2022 season.

• Default: Upon breach of this Agreement, you are liable for any resulting fees or charges incurred by Bloom Dance Company Inc., including but not limited to NSF charges. You agree to indemnify and save harmless Bloom Dance Company Inc. for any claims, losses or damages arising from your breach of this Agreement.

• Dress Code: Dancers are required to wear the assigned uniform and foot wear, available for purchase at Bloom Dance Company Inc. Failure to comply may result in the Dancer being disallowed from participation in the class, rehearsal or recital.

• Behaviour Code: Inappropriate behaviour such as bullying, swearing, physical or verbal abuse will result in the loss of all current and future access privileges. Respect for fellow dancers, parents, guardians and all Bloom Dance Company Inc. staff is required at all times. Failure to comply may result in termination of this Agreement, and expulsion.

The Behaviour Code applies to Dancers, their Parents and Guardians, and any guests who attend Bloom Dance Company Inc. with Dancers, Parents or Guardians.

No refunds will be provided if a Dancer or their Parents/Guardians or guests are expelled from classes for failure to comply with the Behaviour Code.

• Warranty: Bloom Dance Company Inc. warrants that the services supplied under this Agreement are of a reasonably acceptable quality. Bloom Dance Company Inc. makes no other warranty or guarantee regarding any services pursuant to this Agreement.

• Assignment: The rights granted under this Agreement may not be assigned, sold or transferred to any other person or entity without the written consent of Bloom Dance Company Inc. Any unauthorized assignment of this Agreement will result in immediate cancellation of the Agreement and no refunds will be issued.

Bloom Dance Company Inc. may assign this Agreement to any affiliate or successor at any time without notice to you.

• Severability: Each and every word, phrase, sentence and paragraph of this Agreement shall be deemed to be severable without effecting the remainder of the Agreement if deemed by a court of competent jurisdiction to be void as offending any rule of law or public policy or if otherwise deemed by such court to be unenforceable.

• Governing Law: This Agreement shall be construed and enforced according to the laws of the Province of Ontario.

• No Waiver: Failure or delay in exercising any right under this Agreement shall not operate as a waiver of such right or affect this Agreement in any way. Any change to this Agreement must be made in writing on consent of both parties.

• Entire Agreement: The terms contained in this written Agreement, which includes “Registration Terms and Conditions”, “Parental Consent, Release and Waiver of Liability”, "Covid-19 Release and Assumption of Risk”, “Consent for Medical Treatment”, “Photo Release Form for Minor Children”, and "Dress Code Acknowledgement" comprise the entirety of the Agreement between the parties. Each party to this Agreement acknowledges that there have been no representations or warranties or collateral Agreements made by any other party to this Agreement prior to the date of this Agreement.

• Privacy: Personal information contained in this Agreement will only be used for the purposes of registration with Bloom Dance Company Inc.

Acknowledgement: I have read and understand the terms and conditions of this Agreement. I acknowledge that this Agreement is the entire agreement between the parties and supersedes any agreements or acknowledgments, verbal or otherwise.
